This is not an investment, partnership, joint venture, pooled fund, or financial product. No profits are guaranteed. No returns are promised.

SECTION 1: Purpose
The purpose of this arrangement is to allow the Operator to perform skill-based craps wagering sessions using a bankroll voluntarily provided by the Sponsor. The Sponsor understands that all outcomes are based on skill-based wagering and that results vary.

SECTION 2: Definitions
Operator: Sharp Edge Club.
Sponsor: The individual voluntarily providing a bankroll.
Bankroll: Funds voluntarily provided by the Sponsor for performance sessions.
Performance Session: A skill-based craps wagering session conducted by the Operator.
Discretionary Bonus: A voluntary bonus issued by the Operator based on performance outcomes.
Session Log: A summary of session activity and bankroll changes.

SECTION 3: Nature of Relationship
The Operator is an independent performer.
The Sponsor is not an investor.
The Sponsor has no ownership or control over the Operator’s activities.
The Sponsor is not entitled to profits or returns.
No fiduciary duties exist between the parties.
This is a performance sponsorship arrangement only.

SECTION 4: Sponsor Bankroll
The Sponsor voluntarily provides a bankroll in an amount chosen by the Sponsor.
The bankroll remains the Sponsor’s property.
The bankroll may increase or decrease based on session outcomes.
The bankroll is not commingled with other sponsors.
The Sponsor may request the remaining bankroll with reasonable notice.
Bankroll transfers may occur via Zelle, Stripe, or cash.
The Sponsor confirms the funds are voluntary, lawful, and not needed for essential expenses.

SECTION 5: Operator Autonomy
The Operator has full autonomy over strategy, timing, wagers, risk management, and session frequency.
The Sponsor may not influence or direct performance decisions.

Performance sessions occur at the Operator’s discretion.
No specific frequency or outcome is guaranteed.
The Operator may provide session summaries or bankroll updates.

SECTION 7: Discretionary Bonuses
The Operator may issue discretionary bonuses to the Sponsor as a voluntary expression of appreciation.
Bonuses are not guaranteed.
Bonuses are not owed.
Bonuses are not tied to investment returns.
Bonuses may be zero.
Bonuses may vary at the Operator’s sole discretion.

SECTION 8: Risk Disclosure
The Sponsor understands and agrees:
All funds are at risk.
The bankroll may decrease or be lost.
No profits are promised.
No refunds.
No reimbursements.
No chargebacks.
No disputes related to performance outcomes.
Past performance does not guarantee future results.
The Sponsor accepts full financial risk.

SECTION 9: No-Refund / No-Dispute Statement
All transactions are final.
The Sponsor agrees to no refunds, no reimbursements, no chargebacks, and no disputes related to performance outcomes.
This does not waive rights related to fraud or illegal activity, which cannot be waived under U.S. law.

SECTION 10: Confidentiality
The Sponsor agrees not to disclose the Operator’s identity, strategies, session logs, communications, screenshots, or internal processes.
The Sponsor agrees not to publish negative statements, reviews, or complaints regarding Sharp Edge Club or the Operator.

SECTION 11: Non-Disparagement
The Sponsor agrees not to harm the reputation of Sharp Edge Club or the Operator through any form of communication.

SECTION 12: Indemnification
The Sponsor agrees to indemnify and hold harmless the Operator from claims, losses, disputes, chargebacks, regulatory complaints, and third-party claims.
Operator liability is limited to returning any remaining bankroll.

SECTION 13: Limitation of Liability
The Operator is not liable for indirect damages, lost profits, emotional distress, or bankroll losses.
